Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Preloadit (“Preloadit”, “we”, “us”) and govern your access to and use of the Preloaditwebsite, applications, and services (together, the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. Please read these Terms carefully. They include important limitations on our liability and how disputes are resolved.

1. About the Service

Preloaditis a financial technology provider, not a bank. We provide software that lets you fund a prepaid account balance (your “wallet”) and order virtual payment cards drawn from that balance, with spending limits and controls you configure. The cards themselves are issued by licensed banks (see “Card issuance” below). We do not take deposits, pay interest, or provide banking services ourselves, and your wallet balance is not a bank deposit and is not insured as one.

2. Eligibility & accounts

You must be at least 18 years old, legally able to enter into a binding contract, and not barred from using the Service under any applicable law or sanctions program. The Service is not available to, and you may not use it if you are, a resident of or located in any country or territory subject to comprehensive U.S. Office of Foreign Assets Control (OFAC), United Nations, or other applicable sanctions, or if you are an individual or entity named on any applicable sanctions or prohibited-persons list. We operate in full compliance with applicable law, including the banking and financial regulations of the countries in which the banks and institutions that issue our cards are licensed. If you use the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms.

You agree to provide accurate, complete information; to keep your contact details current; and to maintain only one account unless we agree otherwise. You are responsible for safeguarding your credentials and any second-factor device, and for all activity under your account. Notify us promptly of any unauthorized access. We may enable two-factor authentication for sensitive actions, such as revealing card details.

3. Identity verification & compliance

Before we enable certain features, and at any time afterward, we or our partners may be required to verify your identity and to collect information and documents to meet know-your-customer (KYC), anti-money-laundering (AML), sanctions, and other legal obligations. You agree to provide this information and confirm it is truthful. We may request these checks when you register and, from time to time afterward, based on your account activity, transaction patterns, or other risk indicators. If you do not complete a requested check promptly, we may limit, suspend, or close your account. We may decline, suspend, condition, or limit your access, refuse a transaction, or close your account where required by law, by our partners, by card network rules, or where we reasonably suspect fraud, prohibited use, or risk to the Service.

4. Adding funds & your wallet

You may add funds to your wallet using the payment methods we make available, which include cryptocurrency processed through our payment partner. Funds are credited once the underlying payment confirms. Cryptocurrency values can be volatile; the amount credited reflects the amount received and converted at the time of processing, less any applicable fee. Your wallet balance is denominated in U.S. dollars, does not earn interest, and may be used only to order and fund cards through the Service. We may set minimum and maximum amounts, and we may place reasonable holds where required for verification, fraud prevention, or legal compliance.

5. Cards & how they work

Cards ordered through the Service are virtual prepaid cards funded from your wallet. When you order a card, the card amount plus any applicable fee is drawn from your wallet and reserved for that card. Each card has a spending limit you set, and authorizations and settled transactions reduce the available balance. Merchants may place temporary authorization holds. You are responsible for transactions made with your cards and for keeping card details confidential.

6. Acceptable use & prohibited activities

You may use the Service and any card only for lawful purposes and in accordance with these Terms, the issuing bank's cardholder agreement, and card network rules. You agree not to use the Service or a card to:

  • violate any law, regulation, or sanctions program, or facilitate any illegal activity;
  • engage in or facilitate fraud, money laundering, terrorist financing, or transactions involving proceeds of crime;
  • purchase or sell unlawful goods or services, including controlled substances and drug paraphernalia, weapons, ammunition or explosives, counterfeit or stolen goods, or materials that infringe intellectual property;
  • fund gambling, adult content or services, or other restricted categories where prohibited by us, our partners, or network rules;
  • operate an unlicensed money-services, money-transmission, or virtual-currency exchange business, or a pyramid, Ponzi, or similar scheme;
  • resell or provide card access to third parties, or circumvent spending limits, verification, or other security controls;
  • probe, scan, overload, or attempt to gain unauthorized access to the Service or its systems.

This list is not exhaustive and may be updated. We may decline, hold, reverse, or limit transactions, and may freeze or close cards or accounts, to comply with law, network rules, or our partners' requirements, or where we reasonably suspect misuse.

7. Fees

Fees for deposits, card issuance, card reloads, and related actions are shown in the Service before you confirm the relevant action. Deposit and crypto-payment fees apply to amounts you add to your wallet, including amounts paid toward a card order. Fees may change from time to time, and the fee shown at the time you confirm an action applies to that action. You are responsible for all fees incurred under your account. Except where a refund is required by law, all fees paid for the Service are non-refundable.

Purchases made outside the United States, or settled in a currency other than U.S. dollars, are subject to a foreign transaction fee, currently approximately 1% of the purchase amount. This, and any other network or merchant charges, are set by the card network and the issuing bank, applied to the card when the transaction settles, and are separate from the fees we charge. The applicable rate is set by the card network and the issuer and may change.

8. Card issuance & networks

Cards are issued by licensed banks under licenses from the applicable card networks. A card may be issued by any of the following partner banks, and which one issues a particular card may vary: Cross River Bank, WebBank, or WEX Bank, each Member FDIC. Each card is also subject to the issuing bank's cardholder agreement, which governs the card itself and is made available to you in connection with issuance. Card network marks are the property of their respective owners. We may add, change, or remove issuing banks over time.

9. Coupons & promotions

We may offer coupon codes or promotions subject to additional terms, such as minimum amounts, expiry dates, and usage limits. Coupons have no cash value, cannot be combined unless we say so, and may be withdrawn or voided if obtained or used in error, in bad faith, or in breach of these Terms.

10. Closing cards & refunds

You may close a card once all transactions on it have posted and there are no pending authorizations; closing stops the card from being used for further purchases. Because a pending authorization can still settle, a card with pending activity cannot be closed until those transactions post. We may close or cancel a card at any time in accordance with these Terms. When you close a card, any unspent balance on it is returned to your account wallet, ready for a new card or reload. Card creation and processing fees, and amounts already spent or held by a pending authorization, are non-refundable, except where a refund is required by law. Any refund or adjustment we may provide is at our sole discretion, decided on a case-by-case basis, and subject to identity verification and legal requirements.

11. Disputes & unauthorized transactions

Review your transactions regularly. If you believe a transaction is unauthorized or incorrect, contact us promptly so we can help and, where applicable, raise a dispute or chargeback through the issuing bank and the card network. Disputes about purchases are ultimately resolved under the card network's rules and the issuing bank's cardholder agreement. Timely reporting helps protect your rights.

12. Suspension & termination

You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law or our partners, or to protect the Service, our partners, or other users. Without limiting the foregoing, where we suspect illegal activity, fraud, money laundering, sanctions evasion, or any breach of these Terms, we may, at our sole discretion and without prior notice, freeze or cancel any of your cards, suspend or close your account, and ban you from future use of the Service. We will not be liable for any loss resulting from such action taken in good faith. On termination, your right to use the Service ends; any remaining wallet balance is handled in accordance with applicable law and the issuing bank's agreement, subject to any amounts we are required or permitted to withhold.

13. Third-party services

The Service relies on third parties, including issuing banks, card networks, payment and cryptocurrency processors, and identity and fraud-prevention providers. Your use of a card and certain payments are also subject to those parties' terms. We are not responsible for the acts, omissions, or services of third parties, or for merchants with whom you transact.

14. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any card will be accepted by a particular merchant.

15. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability for any claim relating to the Service is limited to the fees you paid to us in the three months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law, including your non-waivable consumer rights.

16. Indemnification

You agree to indemnify and hold harmless Preloadit, its affiliates, and its partners from claims, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your transactions, or your breach of these Terms or applicable law.

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as through the Service or by email. Changes take effect when posted unless we state otherwise, and your continued use of the Service after that constitutes acceptance of the updated Terms.

18. Governing law & disputes

These Terms are governed by the laws of the jurisdiction in which the operator of the Service is established, without regard to conflict-of-law rules, and except where mandatory consumer-protection laws of your place of residence apply. You agree to first contact us to seek an informal resolution before bringing a formal claim. Any dispute that cannot be resolved informally will be subject to the courts or dispute-resolution process required by applicable law.
